End-User License Agreement

This End-User License Agreement ("EULA") is an agreement between you and Magisk Digital ApS, a company registered in Denmark under CVR no. 46291611 ("Kairi," "we," "us," or "our"). It governs your license to the Kairi mobile app (the "App"), whether you got it from the Apple App Store or Google Play. Our Terms of Service and Privacy Policy also apply to your use of the App. If this EULA and the Terms of Service conflict on a question about the App software itself, this EULA applies. By installing or using the App, you accept this EULA. If you do not accept it, do not install or use the App.

The license

The App is licensed to you, not sold. Subject to this EULA, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, for your own non-commercial use. If you buy a Kairi Plus subscription through the App Store or Google Play, the features it unlocks are covered by this same license for as long as the subscription is active.

What you may not do

Except as far as applicable law expressly allows, you may not: copy, modify, translate, or create derivative works of the App; decompile, disassemble, or reverse-engineer the App, except to the extent mandatory law permits this despite this restriction; rent, lease, lend, sell, sublicense, or redistribute the App; remove or alter any copyright, trademark, or other notice in the App; circumvent the App's subscription checks, usage limits, or security measures; or use the App or anything it produces, such as scores, swaps, and recipes, to build a competing product or dataset, including by automated extraction.

Ownership

The App, including its code, design, scoring methods, text, illustrations, and the Kairi name and logo, belongs to Magisk Digital ApS and its licensors and is protected by applicable intellectual property laws. All rights not expressly granted to you in this EULA are reserved. Content you submit to the App remains yours, as described in our Terms of Service.

Updates and availability

We may release updates that fix errors, change features, or add and remove functionality. Some updates may be required to keep using the App. Many features, including scanning, recipes, sync, and Kairi Plus, need an internet connection and our servers, and will not work without them.

Third-party components and data

The App includes open-source software components, and it shows food and recipe data from third-party sources such as Open Food Facts and TheMealDB. Those components and data are provided under their own licenses, and those licenses govern them where they differ from this EULA.

Health information

The App does not provide medical advice, diagnosis, or treatment. The "Not medical advice" section of our Terms of Service applies in full to everything the App shows you.

Warranty and liability

The "Disclaimers" and "Limitation of liability" sections of our Terms of Service apply to the App. If you are a consumer, you keep your statutory rights for digital content that does not conform to the contract, and nothing in this EULA limits them. Nothing in this EULA limits liability for intent or gross negligence, for death or personal injury, or any other liability that cannot be limited under applicable law.

Termination

You may end this EULA at any time by deleting the App from all your devices. The license ends automatically if you breach this EULA. When it ends, you must stop using the App and delete it. The sections on ownership, warranty and liability, and governing law continue to apply after the license ends. Deleting the App does not cancel a Kairi Plus subscription; cancel it through your Apple ID or Google Play account settings.

Legal compliance

You confirm that you are not located in a country that is subject to a United States Government embargo, or that has been designated by the United States Government as a "terrorist supporting" country, and that you are not listed on any United States Government list of prohibited or restricted parties. You also agree to comply with the export and sanctions laws of the European Union and Denmark when you use the App.

Additional terms for the Apple App Store

If you got the App from the Apple App Store, the following terms also apply. Where they conflict with anything else in this EULA, they prevail.

Acknowledgement. This EULA is concluded between you and Magisk Digital ApS only, and not with Apple Inc. ("Apple"). Magisk Digital ApS, not Apple, is solely responsible for the App and its content. This EULA does not provide usage rules for the App that conflict with the Apple Media Services Terms and Conditions in effect when you accept it.
Scope of license. Your license is limited to using the App on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with you through Family Sharing or volume purchasing.
Maintenance and support. Magisk Digital ApS is solely responsible for providing any maintenance and support for the App, as set out in this EULA or required by applicable law. Apple has no obligation whatsoever to provide maintenance or support for the App.
Warranty. Magisk Digital ApS is solely responsible for any product warranties, whether express or implied by law, to the extent they are not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the App to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the App. Any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are the sole responsibility of Magisk Digital ApS.
Product claims. Magisk Digital ApS, not Apple, is responsible for addressing any claims by you or a third party relating to the App or your possession and use of it, including: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation. This EULA does not limit the liability of Magisk Digital ApS to you beyond what applicable law permits.
Intellectual property rights. If a third party claims that the App, or your possession and use of it, infringes that third party's intellectual property rights, Magisk Digital ApS, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
Legal compliance. The "Legal compliance" section above applies.
Third-party terms. You must comply with any applicable third-party terms when you use the App, such as your mobile data service agreement.
Third-party beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of this EULA. Once you accept this EULA, Apple has the right, and is deemed to have accepted the right, to enforce this EULA against you as a third-party beneficiary.

Additional terms for Google Play

If you got the App from Google Play, the Google Play Terms of Service also apply to your download and to any purchase you make through Google Play. Google is not a party to this EULA and is not responsible for the App.

Governing law

This EULA is governed by the laws of Denmark, without regard to conflict-of-law principles. Disputes are subject to the jurisdiction of the Danish courts, without prejudice to any mandatory consumer-protection rights you have under the law of your country of residence. If you are a consumer in Denmark, you can also complain to Center for Klageløsning at Nævnenes Hus.

Changes to this EULA

We may update this EULA from time to time. Continued use of the App after changes take effect means you accept the updated EULA. We will update the "Last updated" date above when we do.
